Terms of Service

Welcome to VA Projects.
These Terms of Service (“Terms”) govern your access to and use of the VA Projects platform (“VA Projects”, “we”, “us”, or “our”).
By creating an account or using VA Projects, you agree to these Terms. If you do not agree with these Terms, please do not use the platform.

1. About VA Projects
VA Projects is an online platform that connects Virtual Assistants (“VAs”) with Clients who require virtual assistant services.
VA Projects acts as a platform, connector, and payment facilitator. VA Projects does not employ VAs and does not directly manage the work performed by VAs.
VAs are independent contractors and are not employees, agents, partners, or representatives of VA Projects.

2. Eligibility
You must be at least 18 years old to create an account or use VA Projects.

By registering, you confirm that:
You are at least 18 years old.
The information you provide is accurate and truthful.
You have the legal capacity to enter into agreements.
You will comply with these Terms and applicable laws.

If you are registering on behalf of a business or organisation, you confirm that you have the authority to do so.

3. Accounts
Registration with VA Projects is free.
Each person may maintain only one VA Projects account.

You must not:
Create multiple accounts.
Share your account with another person.
Allow another person to use your account.
Create an account using false or misleading information.
Use another person’s identity or account.

You are responsible for maintaining the confidentiality of your account credentials.
You must notify VA Projects through the platform’s support system if you believe that your account has been accessed or used without your permission.

4. Client Requirements and Verification
Clients may be required to provide an official agreement and an acceptable identification document, such as:
National identity document;
Passport; or
Driving licence.

A Client is responsible for ensuring that they have the authority to engage a VA on behalf of their business or organisation.
VA Projects may request additional information where reasonably necessary to address security concerns, suspicious activity, or other legitimate platform requirements.

5. VA Registration and Verification
VAs may register without paying a registration fee.
Initial registration requires an email address and password.
VA Projects does not require identity verification from every VA during the initial registration process. However, if we identify suspicious activity or require additional confirmation, we may request email or telephone verification.
Providing false, misleading, fraudulent, or stolen information may result in the account being restricted or terminated.

6. Projects
Clients provide their project requirements to VA Projects.
VA Projects reviews the submitted requirements and may prepare and publish the project for suitable VAs.
VA Projects may circulate suitable VA CVs or candidate information to the Client.
The Client may communicate with suitable candidates and conduct an interview before selecting a VA.
The final decision regarding which VA to select belongs to the Client.
VA Projects does not guarantee that a particular VA will be selected for a project.

7. Role of VA Projects
VA Projects acts as a platform and connector between Clients and VAs.

Our role may include:
Receiving project requirements from Clients;
Reviewing project information;
Connecting suitable VAs with Clients;
Facilitating project-related communication through the platform;
Facilitating payments; and
Assisting with disputes when they arise.

VA Projects does not directly supervise or manage the day-to-day work of a VA.

8. Independent Contractors
VAs are independent contractors.
Nothing in these Terms creates an employment relationship between a VA and VA Projects.
VAs are responsible for their own tax obligations, legal obligations, working arrangements, equipment, and other responsibilities applicable to independent contractors.
Clients are responsible for determining whether their relationship with a VA creates any employment, tax, regulatory, or other legal obligations under applicable law.

9. Client Responsibilities
Clients are responsible for:
Providing accurate project requirements;
Having appropriate authority to engage a VA;
Providing accurate information to VA Projects;
Providing payment for agreed work;
Reviewing submitted work;
Communicating requirements clearly;
Conducting interviews where appropriate; and
Complying with applicable laws.

The Client is responsible for determining whether the completed work meets the requirements agreed with the VA.

10. VA Responsibilities
VAs are responsible for:
Providing accurate information;
Performing agreed work professionally;
Following the Client’s legitimate project requirements;
Meeting agreed deadlines;
Protecting Client confidential information;
Providing original work where required;
Complying with applicable laws; and
Maintaining professional conduct.

A VA must not knowingly submit stolen, copied, fraudulent, or otherwise unauthorised work.

11. Communication
Project-related communication between Clients and VAs must take place through VA Projects.
Users must not attempt to move a VA Projects project outside the platform in order to avoid VA Projects’ processes or fees.
Users must not exchange contact information for the purpose of bypassing VA Projects’ platform or payment processes.

12. Payments
Payments are processed in USD.
Clients may use an available payment processor supported by the platform.
For applicable projects, the Client provides payment for the agreed work before the relevant work is performed.
Payment may be provided for an agreed number of hours or another agreed work period.
VA Projects then releases the applicable payment to the VA for completed work.
Payments are generally released daily for completed work.

13. VA Projects Service Fee
VA Projects charges Clients a 1% service fee.
For example, if the agreed service amount for a VA is $100:
VA service amount: $100
VA Projects service fee: $1
Total Client payment: $101
The VA receives 100% of the agreed service amount.
The VA Projects service fee is paid by the Client and is not deducted from the VA’s agreed service amount.

14. No VA Registration or Withdrawal Fees
VA Projects does not charge VAs:
Registration fees;
Fees to browse projects;
Fees to receive projects; or
Fees to receive their agreed earnings.

VA Projects will not require a VA to pay money in order to receive a project.

15. Completion of Work and Payment
Where a Client has provided payment for agreed work, VA Projects releases the applicable payment to the VA when the agreed work has been completed, subject to the applicable project requirements and any dispute process.
If a VA fails to complete paid work, the Client may be entitled to a refund for the applicable incomplete work.

16. Client Review and Acceptance
Clients are responsible for reviewing work submitted by VAs and determining whether it satisfies the agreed project requirements.
Once work has been submitted and the Client has agreed to release payment, the Client may not subsequently request a refund for that completed and accepted work, except where required by applicable law or where VA Projects determines that an exceptional circumstance requires further review.

17. Cancellations
Clients should not cancel a project in the middle of the agreed work.
If a project is cancelled, the VA remains entitled to payment for work already completed, subject to review of the applicable project requirements and work.
If a VA leaves a project, the VA remains entitled to payment for work completed up to the point of departure, subject to the applicable project requirements and review process.

18. Disputes
VA Projects may review disputes between Clients and VAs relating to projects handled through the platform.
Where a dispute occurs, VA Projects may review:
The original project requirements;
Work submitted by the VA;
Relevant project communications;
Payment information; and
Other information reasonably relevant to the dispute.

VA Projects may make a determination based on the available information and the circumstances of the dispute.
VA Projects’ dispute-review process does not prevent a user from exercising any rights available to them under applicable law.

19. Confidentiality
Users must protect confidential information obtained through VA Projects.
VAs must keep Client information, business materials, documents, credentials, processes, and other confidential information private and must not disclose or misuse such information without appropriate authorisation.
Clients must likewise respect confidential information belonging to VAs.
Confidential information must only be used for legitimate purposes connected with the relevant project.

20. Intellectual Property
Ownership of intellectual property created by a VA as part of a project is determined by the agreement between the Client and the VA.
VA Projects does not automatically claim ownership of work produced by VAs.
Clients and VAs are responsible for clearly establishing any applicable intellectual-property rights before work begins.

21. Prohibited Activities
Users must not use VA Projects for:
Fraudulent activity;
Illegal activities;
Harassment;
Spam;
Misrepresentation;
Identity theft;
Account sharing;
Creating multiple accounts;
Submitting stolen or unauthorised work;
Attempting to bypass VA Projects;
Making payments outside VA Projects for projects introduced through the platform;
Circumventing VA Projects’ service fee;
Abusing or threatening other users;
Attempting to gain unauthorised access to another account;
Misusing another person’s personal information; or
Any other activity that violates applicable law or these Terms.

VA Projects may restrict or terminate access where we reasonably believe that a user has engaged in prohibited activity.

22. Off-Platform Payments
Clients and VAs must not arrange direct payments outside VA Projects for projects introduced through the platform.
Attempting to move a project or payment outside VA Projects to avoid platform procedures or fees is prohibited.
Keeping project payments within VA Projects helps maintain appropriate records and allows our team to assist when project-related disputes arise.

23. Account Suspension and Termination
VA Projects may restrict, suspend, or terminate an account where a user:
Creates multiple accounts;
Provides false or misleading information;
Engages in fraudulent activity;
Violates these Terms;
Attempts to bypass VA Projects;
Engages in illegal activity; or
Creates a significant risk to the platform or other users.

Where appropriate, VA Projects may review the circumstances before taking action.
Termination of an account does not automatically remove obligations that arose before termination.

24. Account Deletion
Users may delete their accounts through their profile.
Deletion of an account does not necessarily require VA Projects to immediately delete information that we are required or reasonably entitled to retain for legal, security, transaction, dispute-resolution, or legitimate operational purposes.

25. Privacy and Personal Information
VA Projects respects the privacy of its users.
We do not sell or share user information with third parties for their own purposes.
Users may be required to provide certain information to use particular platform functions or to comply with verification and security requirements.
Our Privacy Policy explains how personal information is collected, used, stored, and protected.

26. Account Security
Users are responsible for keeping their login credentials secure.
VA Projects will not ask users to provide:
Account passwords;
One-time passwords (OTPs);
Banking PINs; or
Similar confidential security credentials.

If someone claiming to represent VA Projects requests such information, users should report the incident through the in-site support system.

27. Support
The fastest way to contact VA Projects is through the in-site support chat system.
Users should use the support system to report:
Suspicious activity;
Payment issues;
Project disputes;
Account problems;
Potential fraud; or
Other platform-related concerns.

28. No Guarantee of Project Success
VA Projects makes reasonable efforts to help Clients and VAs establish successful working relationships.
However, VA Projects does not guarantee that every project, working relationship, or outcome will be successful.
Our role is to facilitate the connection and support the process rather than directly manage the work performed by VAs.

29. No Employment Relationship
VAs are independent contractors and are not employees of VA Projects.
VA Projects does not provide employment benefits, salary, holiday pay, sick pay, pension contributions, or other employment benefits to VAs.
VAs are responsible for their own legal and tax obligations.

30. Limitation of VA Projects’ Role
VA Projects provides a platform and payment facilitation service.
VA Projects does not directly control:
The Client’s business;
The VA’s working environment;
The VA’s equipment;
The Client’s internal policies;
The quality of every service provided; or
The commercial decisions of Clients and VAs.

Clients and VAs remain responsible for their own decisions and agreements.

31. Applicable Law
These Terms are intended to be governed by the laws applicable in England and Wales.
Any disputes concerning these Terms shall be subject to the applicable courts and legal procedures of England and Wales, subject to any mandatory rights a user may have under applicable law.

32. Changes to These Terms
These Terms describe the rules applicable to the use of VA Projects.
VA Projects does not currently intend to change the 1% Client service fee or materially alter the fundamental platform model without appropriate notice.
Where changes to these Terms are necessary, updated terms may be published on the VA Projects website.
Users should review the Terms periodically to remain informed about the rules applicable to their use of the platform.

33. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

34. Entire Agreement
These Terms, together with any applicable project agreement, policies, and other terms expressly incorporated by reference, constitute the agreement governing your use of VA Projects.
Where a specific written agreement between a Client and VA governs a particular project, that agreement may establish additional terms applicable to that project.
